  1.           ERGOSOFT'S SHAREWARE LICENSE AGREEMENT
  2.                                
  3.                                
  4. (1) Introduction. This agreement explains when and how
  5. you may use both shareware and registered copies of
  6. software products from ErgoSoft.  In this agreement:
  7.  
  8.     "Program" means the ErgoSoft software products(s)
  9.     you have purchased or obtained for evaluation,
  10.     including both the software and the associated
  11.     documentation and other materials;
  12.     "Shareware Copy" means a copy of the Program
  13.     distributed by us orby our authorized agents for
  14.     evaluation purposes and which is described as a
  15.     shareware copy in the Program's sign-on messages;
  16.     "Registered Copy means a copy of the Program
  17.     purchased from us or from a dealer, and which is not
  18.     described as a shareware copy in the Program's sign-
  19.     on messages;
  20.     "we" or "us" means ErgoSoft AG., a corporation based
  21.     inAltnau, TG, , Switzerland; and"you" means the end
  22.     user of the Program.
  23. (2) Legal Agreement.  This is a legal agreement which
  24. allows you, the end user, to use the Program under
  25. certain terms and conditions.  If you cannot agree to
  26. abide by what this agreement says you should not use or
  27. evaluate the Program.
  28.  
  29. (3) Copyright.  The Program is copyrighted under swiss
  30. law and international treaty provisions.  You agree that
  31. your use of the Program is subject to these laws, which
  32. prohibit unauthorized copying or duplication of the
  33. Program software, documentation, and other materials.
  34.  
  35. (4) Evaluation Period.  You may use a Shareware Copy of
  36. the Program for an evaluation period of up to 21 days.
  37. The purpose of this evaluation period is to allow you to
  38. determine whether the program meets your needs before
  39. purchasing it.  Once the evaluation period has ended, you
  40. agree to either purchase a Registered Copy of the
  41. Program, or to stop using it.  If you have ordered a
  42. Registered Copy of the Program from us or from a dealer,
  43. you may continue to use your Shareware Copy beyond the
  44. end of the 21-day evaluation period until your Registered
  45. Copy arrives.

  47. (5) Use of the Program.  While you are evaluating the
  48. Program, you may use it on as many computers as are
  49. required to perform your evaluation.  Your 21-day
  50. evaluation period begins when you first install the
  51. Program on one or more computers for evaluation purposes.
  52. Once the evaluation period is over and you purchase the
  53. program, your use is subject to the following
  54. restrictions:

  56.  Individual Copies:  You agree not to install and use an
  57.  individual Registered Copy of the Program on more than
  58.  one computer at a time. However, we agree to an
  59.  exception to this rule if you meet the conditions
  60.  described in the rest of this paragraph.  You may
  61.  install your individual copy simultaneously on one
  62.  computer at work, one computer at home, and one
  63.  portable computer, if all these computers are used
  64.  primarily by the same individual, and there is NO
  65.  POSSIBILITY that the computers will be in use at the
  66.  same time except while you are actively transferring
  67.  files between them.  If the Program was purchased by
  68.  your employer you agree to get your employer's explicit
  69.  permission before installing the Program on multiple
  70.  systems as described in this paragraph.

  72.  Multi-System Licenses and Network Use.  You agree to
  73.  purchase multiple individual copies or a multi-system
  74.  license before using the Program simultaneously on more
  75.  than one computer. When you purchase a multi-system
  76.  license you agree not to use the Program on more
  77.  computers than the number included in your license, as
  78.  shown on your invoice, the program sign-on screen, or
  79.  other documents from us. You may install the Program on
  80.  computers attached to a network, or remove it from one
  81.  computer and install it on a different one, provided
  82.  there is NO POSSIBILITY that your copy will be
  83.  installed or used on more computers than it is licensed
  84.  for.  If you have a network, you don't need to include
  85.  every computer attached to the network in your license,
  86.  but you must include every computer on which the
  87.  Program is installed or used, regardless of whether the
  88.  user of the computer happens to know that the Program
  89.  is in use on their system. If you have single computers
  90.  which allow multiple users to use the Program
  91.  simultaneously, you must count each keyboard or
  92.  terminal separately when determining how many computers
  93.  are using the Program.

  95. (6) Making and Distributing Shareware Copies of the
  96. Program. You may make copies of your Shareware Copy of
  97. the Program to give to others, as long as you include all
  98. of the files that you originally received with your
  99. Shareware Copy, as listed in the README.TXT file included
  100. with your Shareware Copy. When you give a   Shareware
  101. Copy of the Program to another person, you agree to
  102. inform them that their copy is to be used for a time
  103. limited evaluation period, and that they must purchase a
  104. Registered Copy if they continue to use the Program once
  105. the evaluation period has ended.  You agree not to sell
  106. Shareware Copies of the Program or distribute them to
  107. others for any kind of compensation or fee unless you are
  108. a shareware disk vendor approved by the US-based
  109. Association of Shareware Professionals, are a non-profit
  110. User Group, or have received written permission from us;
  111. and your permission to distribute the Program has not
  112. been revoked by us; and you charge a fee of US $12 or
  113. less per copy (excluding shipping costs).  You also agree
  114. not to sell printed copies of any documentation for the
  115. Program under any circumstances.

  117. (7) Copying Registered Copies of the Program.  When you
  118. receive a Registered Copy of the Program you may make
  119. copies of the Program software which are necessary for
  120. normal backup purposes. However you agree not to make any
  121. copies of the printed manual(s) which come with the
  122. Program without explicit written permission from us.  You
  123. also agree not to give your Registered Copy of the
  124. Program to others for any purpose. This means that you
  125. may not sell or give away copies of a Registered Copy of
  126. the Program or any part of it in any way, including
  127. bundling or re-selling the Program with your own
  128. software, or placing such a copy of the Program in any
  129. disk library or on any bulletin board or electronic
  130. service.

  132. (8) Operation of the Program.  ErgoSoft's products are
  133. powerful programs.  While we have attempted to build in 
  134. reasonable safeguards, if you do not use them properly 
  135. you may destroy files or cause other damage to your 
  136. computer software and data.  You assume full 
  137. responsibility for the selection and use of the Program 
  138. to achieve your intended results.

  140. (9) LIMITED WARRANTY:  The following limited warranty
  141. applies to Registered Copies of the Program.  It is
  142. included here so you understand what your warranty will
  143. be when you purchase a Registered Copy.  This warranty
  144. does NOT apply to Shareware Copies of the Program.

  146.   Satisfaction Guarantee.  If you are dissatisfied with
  147.   any product you buy from us under this Agreement for
  148.   any reason, you may return it at any time up to 90 days
  149.   after purchase and we will give you a refund. If the
  150.   product is a ErgoSoft product we will give you a full
  151.   refund. If it is not a ErgoSoft product we will give
  152.   you a full refund if in our judgement the product is
  153.   returned in an undamaged, resalable condition, or a 50%
  154.   refund if not.  Refunds will be based on the price you
  155.   paid, with shipping costs excluded. You must contact us
  156.   before returning any product for a refund. This
  157.   satisfaction guarantee does not apply to multi-system
  158.   licenses for more than 10 computers, or to purchases of
  159.   more than 10 individual copies at a time.
  160.   
  161.   Physical Defects.  We pledge that the disks and manuals
  162.   we send you will arrive free of physical defects which
  163.   interfere with normal use. If you find such a defect
  164.   and report it to us within 90 days after you purchase
  165.   the Program, we agree to replace the defective item(s)
  166.   at no charge to you as long as the defect was not
  167.   caused by misuse or abuse.
  168.   
  169.   Bugs and Program Errors.  We don't promise that the
  170.   Program will be free of bugs or program errors, and you
  171.   agree that bugs or program errors will not be
  172.   considered "physical defects" in the program. We agree
  173.   that if you report a program error or bug to us, we
  174.   will use our best efforts to correct it. We also agree
  175.   that if we can verify and correct the error you report,
  176.   and we then issue a maintenance release for the Program
  177.   which includes the correction, we will make a copy of 
  178.   that maintenance release available to you at no charge,
  179.   if you request it. However we will only do this for 
  180.   maintenance releases, not for new major releases or 
  181.   other new versions of the Program.

  184. WARRANTY DISCLAIMER

  186.   DISCLAIMER FOR SHAREWARE COPIES.  YOU ARE NOT PAYING
  187.   FOR THE TRIAL USE LICENSE FOR YOUR SHAREWARE COPY OF
  188.   THE PROGRAM.  ACCORDINGLY THE SHAREWARE COPY IS
  189.   PROVIDED "AS-IS" AND WITHOUT WARRANTY OF ANY KIND.
  190.   
  191.   DISCLAIMER FOR REGISTERED COPIES.    EXCEPT FOR THE
  192.   LIMITED WARRANTY STATED ABOVE FOR REGISTERED COPIES OF
  193.   THE PROGRAM, WE DISCLAIM ANY AND ALL OTHER WARRANTIES,
  194.   EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING ANY
  195.   IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
  196.   PARTICULAR PURPOSE.  THE LIMITED WARRANTY ABOVE GIVES
  197.   YOU SPECIFIC LEGAL RIGHTS, BUT YOU MAY HAVE OTHER
  198.   RIGHTS, WHICH VARY FROM STATE TO STATE.  SOME STATES DO
  199.   NOT ALLOW A LIMITATION ON HOW LONG A WARRANTY LASTS, SO
  200.   SUCH LIMITATIONS MAY NOT APPLY TO YOU.

  202.   LIMITATION OF LIABILITY FOR SHAREWARE AND REGISTERED
  203.   COPIES.  IN NO EVENT SHALL WE BE LIABLE FOR ANY
  204.   INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  205.   WHATSOEVER ARISING OUT OF USE OF THE PROGRAM OR YOUR
  206.   RELATIONSHIP WITH US, INCLUDING WITHOUT LIMITATION ANY
  207.   OR ALL DAMAGES FOR LOSS OF PROFITS, BUSINESS
  208.   INTERRUPTION, LOSS OF INFORMATION OR ANY PECUNIARY
  209.   LOSS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY
  210.   OF SUCH DAMAGES.  SOME STATES DO NOT ALLOW EXCLUSION OR
  211.   LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL
  212.   DAMAGES, THEREFORE THE ABOVE LIMITATION MAY NOT APPLY
  213.   TO YOU.  THE REFUND, REPLACEMENT AND ATTEMPTED REPAIR
  214.   REMEDIES FOR REGISTERED COPIES STATED IN THE "LIMITED
  215.   WARRANTY" SECTION ABOVE SHALL BE YOUR SOLE REMEDY FOR
  216.   ANY AND ALL PROGRAM DEFECTS, PROGRAM ERRORS, OR
  217.   DOCUMENTATION ERRORS.
